These Terms and Conditions govern the use of the Belmont Business Solutions website and the provision of services by Belmont Business Solutions.

Please read them carefully before purchasing, booking, subscribing to or instructing Belmont to provide any service.

Part 1 — General terms

1. About Belmont

Belmont Business Solutions (“Belmont”, “we”, “us”, “our”) is the trading name of:

  • Legal name: [INSERT FULL LEGAL NAME / SOLE TRADER NAME]
  • Business address: [INSERT BUSINESS ADDRESS]
  • Email: hello@belmontbusiness.co.uk
  • Telephone: [INSERT IF USED]
  • Company number: [INSERT IF APPLICABLE]
  • VAT number: [INSERT IF APPLICABLE]

Belmont provides practical business, commercial, creative and digital support primarily to independent and owner-managed businesses.

Services may include business support, sales and commercial advice, research, photography, video, content, design, branding, business documents, correspondence support, growth projects, websites, website management, automation and related digital services.

Belmont is not a law firm, regulated legal practice, accountancy firm, financial adviser, regulated HR adviser or other regulated professional practice.

2. Business Clients and consumer status

Belmont’s services are designed primarily for businesses and are offered on a business-to-business basis unless Belmont expressly agrees otherwise in writing.

When instructing Belmont in connection with a business, you confirm that you are acting wholly or mainly for purposes relating to your trade, business, craft or profession.

“Client”, “you” and “your” mean the person, sole trader, partnership, company, organisation or other business instructing Belmont.

If an individual genuinely contracts with Belmont wholly or mainly outside their trade, business, craft or profession, they may legally be a consumer. Mandatory consumer rights apply in that situation and take priority over any conflicting provision of these Terms. Belmont does not seek to exclude or restrict any right which cannot lawfully be excluded or restricted.

Where a recurring service is supplied to a consumer, Belmont will comply with any mandatory subscription-contract regime in force at the relevant time.

3. Definitions

For these Terms:

  • Agreement means these Terms together with the accepted quotation, order confirmation, service specification, Data Processing Schedule and any specifically negotiated written terms.
  • Belmont Background IP means Belmont’s pre-existing or reusable methods, templates, frameworks, code libraries, prompts, workflows, automations, know-how, design systems and development tools which are not created uniquely for one Client.
  • Business Day means Monday to Friday excluding public holidays in England.
  • Client Content means text, photographs, logos, data, documents, product information, customer information and other material supplied by or on behalf of the Client.
  • Client Data means personal data, business records, files, messages, photographs, uploads, form submissions, account data, orders, bookings and other information belonging to or controlled by the Client or its users.
  • Client Portal means any private login, dashboard, journal, file area, account, membership or other restricted website functionality supplied for the Client or the Client’s customers.
  • Managed Website means a website supplied by Belmont as an ongoing monthly managed service where Belmont retains ownership of the bespoke website build and the Client receives a contractual right to use it while the service remains active.
  • Outright Website means a website specifically purchased under an outright-purchase package.
  • Website Care means a separately purchased maintenance/support service for a website owned outright by the Client.
  • WordPress means the open-source WordPress software and related ecosystem used to operate websites. WordPress itself is not owned by Belmont.
  • Third-Party Service includes hosting providers, domain registrars, WordPress, themes, plugins, APIs, payment processors, CRM systems, email/SMS providers, automation platforms, cloud services and other services not controlled by Belmont.
  • Sub-processor means a third party engaged by Belmont to process personal data on behalf of a Client where Belmont itself acts as processor.

Controller, processor, personal data, processing, personal data breach and data subject have the meanings given by applicable UK data-protection law.

4. Acceptance of these Terms

These Terms form part of the Agreement.

You accept them when you:

  • sign or electronically accept an agreement;
  • accept a quotation or proposal;
  • confirm an order;
  • make a deposit or payment;
  • subscribe to a service;
  • purchase through Belmont’s website; or
  • instruct Belmont to begin work after receiving or being given access to these Terms.

5. Order of priority

If different contractual documents appear inconsistent, the following order normally applies:

  1. specifically negotiated written terms signed or expressly agreed by both parties;
  2. the accepted quotation/order confirmation/project specification;
  3. service-specific terms;
  4. these Terms;
  5. general website descriptions or promotional material.

The order confirmation or agreed specification determines exactly what Belmont has agreed to supply.

6. Package descriptions and specifications

Website pages, brochures, package cards and marketing material provide general descriptions only. The accepted quotation/order confirmation or written specification determines exactly what is included for the Client.

A list of examples does not mean every example is automatically included. Where a package states that it can include a feature, that feature is included only where it forms part of the agreed specification.

This is particularly important for e-commerce, memberships, client areas, customer dashboards, journals, booking systems, payment functionality, CRM integrations, automation, portals, file uploads, third-party integrations and bespoke functionality.

Where a package is described by an approximate page count, functionality and complexity take priority over page count. Belmont may reasonably classify work into a different package where the requested functionality materially exceeds the normal scope of the selected package.

7. Reasonable care and skill

Belmont will perform agreed services with reasonable care and skill.

Timescales are estimates unless Belmont expressly agrees in writing that a particular deadline is guaranteed.

8. Scope of work and change control

Belmont will supply the work included within the agreed scope. A request materially outside that scope may be treated as additional work and separately quoted.

Examples include substantially more content, extra pages, additional photography or video, a substantially different design direction, extensive additional revisions, significant additional research, new functionality, major integrations, additional automation, a new client portal, adding e-commerce, a membership system, significant database work, bulk product uploads or substantial migration work not included originally.

Belmont will normally identify additional charges before carrying out substantial additional work. The Client is not obliged to purchase the additional work.

A change requested by the Client may also affect delivery dates, testing requirements, third-party costs and ongoing maintenance charges.

9. No guarantee of commercial results

Belmont provides professional work, research, creative services, systems, recommendations and practical commercial support.

Belmont does not guarantee any particular:

  • social-media reach;
  • impressions;
  • engagement;
  • followers;
  • website traffic;
  • search-engine ranking;
  • enquiries;
  • leads;
  • bookings;
  • customers;
  • reviews;
  • conversion rate;
  • repeat-business level;
  • sales;
  • turnover;
  • revenue;
  • profit;
  • return on investment;
  • business growth; or
  • commercial success.

Results can depend on many matters outside Belmont’s control.

10. Client decisions

The Client remains responsible for its business decisions.

Belmont may provide ideas, research and recommendations, but the Client decides whether and how to implement them.

The Client remains responsible for matters including:

  • pricing;
  • expenditure;
  • stock;
  • recruitment;
  • staffing;
  • contracts;
  • investment;
  • products and services;
  • promotions;
  • regulatory requirements; and
  • commercial strategy.

Part 2 — Client responsibilities

11. Information and cooperation

The Client must provide information, content, access, instructions and approvals reasonably required for Belmont to perform the service.

Information supplied must be accurate and complete to the best of the Client’s knowledge.

12. Client-supplied material

The Client confirms that it has appropriate rights or permission to provide Client Content to Belmont and authorises Belmont to use that content to perform the Agreement.

The Client must not knowingly supply material which:

  • infringes copyright or trade marks;
  • breaches confidentiality;
  • unlawfully uses personal information;
  • is defamatory;
  • is fraudulent;
  • is unlawfully discriminatory;
  • is misleading; or
  • is otherwise unlawful.

13. Accuracy

The Client is responsible for checking important factual information relating to its business, including:

  • prices;
  • product specifications;
  • dates;
  • opening hours;
  • names;
  • contact details;
  • guarantees;
  • delivery information;
  • promotions;
  • claims;
  • legal notices supplied by the Client.

14. Advertising claims

The Client remains responsible for being able to substantiate claims made about its business, products or services.

Belmont may refuse to publish or prepare wording which it reasonably believes is misleading, unsupported, defamatory or unlawful.

Belmont’s assistance with wording is not formal advertising-law clearance.

15. Approval

Where Belmont supplies work for approval, the Client must review it reasonably carefully.

Approval confirms acceptance of visible content and presentation, including spelling, prices, contact information and factual statements, except for defects which could not reasonably have been identified from the approval material.

16. Revisions

Revisions included within a project are limited to the number stated in the package or quote.

Where no number is stated, Belmont will allow a reasonable opportunity for minor amendments consistent with the agreed brief.

A revision is not a completely new brief, concept or design direction.

17. Client delay

Where delay results from the Client failing to:

  • provide content;
  • provide access;
  • respond;
  • approve work;
  • attend an appointment;
  • provide instructions; or
  • make payment,

Belmont may extend the timetable accordingly.

18. Dormant projects

If a one-off project becomes substantially inactive because the Client does not respond or provide required material, Belmont may place the project on hold.

Where a project remains dormant for an extended period, Belmont may close the project and require a reasonable reactivation charge or new timetable before continuing.

Part 3 — Monthly services

19. General monthly services

Unless stated otherwise, Belmont recurring services other than Managed Websites have:

  • an initial minimum period of three months;
  • payment monthly in advance; and
  • after the initial term, continuation on a rolling basis subject to at least 30 days’ written notice.

20. Monthly allowances

Where a service includes a monthly allowance, that allowance belongs to that billing month.

Unused allowances do not automatically carry forward unless Belmont agrees otherwise.

21. Belmont Monthly Support

The Belmont Monthly Support package includes only the services and quantities identified in the current package description/order.

It is not an unlimited service.

“Reasonable quick support” means short questions, second opinions and minor changes within the normal scope of the service.

Substantial projects remain separately chargeable.

22. Combined-service discounts

Where Belmont offers combined-service discounts, only services expressly identified as eligible count towards the discount.

Unless otherwise stated, discounts do not apply to:

  • websites;
  • Website Care;
  • hourly work;
  • correspondence;
  • additional correspondence matters;
  • one-off projects;
  • third-party charges;
  • bespoke work.

If the Client removes services, the discount may be recalculated for future billing periods.

Part 4 — Visits, photography, video and design

23. Appointments and access

The Client must provide safe and reasonable access to locations at which Belmont is required to work.

Relevant access, parking and safety information should be disclosed beforehand.

24. Appointment cancellation

Clients should normally provide at least 48 hours’ notice when cancelling or rearranging an appointment, visit or shoot.

Where less notice is given, Belmont may reasonably:

  • treat some or all of the booked allowance as used;
  • recover unavoidable costs; or
  • charge a reasonable rearrangement fee.

25. Travel and expenses

Unusual travel, parking, tolls, accommodation, venue costs and similar expenses are not included unless expressly stated.

Additional costs will normally be agreed beforehand.

26. Photography

Belmont uses professional judgement when photographing, selecting and editing work.

Unless expressly agreed:

  • not every photograph taken is supplied;
  • RAW files are not included;
  • rejected/test/duplicate files are not supplied;
  • approximate image quantities are not guarantees of an exact number.

27. Video and Reels

Belmont will professionally select and edit footage suitable for the agreed purpose.

Unless expressly included:

  • all original footage is not supplied;
  • raw footage is not supplied;
  • editable project files are not supplied.

28. Permissions

The Client is responsible for obtaining appropriate permission from people it asks Belmont to photograph or film for business use and for ensuring Belmont is permitted to work at the premises concerned.

29. Content and design projects

Fixed-price content, branding and promotional-design packages cover the agreed combination of deliverables.

A list of possible deliverables does not mean every item is included.

Printing, fabrication, physical signage and installation are separate unless expressly agreed.

30. Logo and brand clearance

Belmont does not automatically conduct trade-mark, company-name or international brand-clearance searches.

The Client is responsible for deciding whether specialist intellectual-property clearance or registration is required.

Part 5 — Business support, research and correspondence

31. Practical business support

Business research is based on information reasonably available at the time.

Belmont will use reasonable care when comparing options but does not warrant that every possible supplier, service or opportunity has been identified.

32. Business Growth & Marketing

Growth projects may include research, commercial ideas, wording, customer-journey analysis, offers and action plans.

They do not guarantee any financial or commercial outcome.

33. Correspondence support

Belmont provides behind-the-scenes research and drafting.

The Client reviews and sends correspondence in its own name.

Unless separately agreed, Belmont does not communicate directly as the Client’s legal representative.

34. Legal boundary

Belmont may research:

  • consumer legislation;
  • business-to-business principles;
  • contractual principles;
  • official guidance;
  • relevant factual information.

This is practical business research and drafting support.

Belmont does not provide regulated legal representation or act as a solicitor.

35. Dispute outcomes

Belmont does not guarantee:

  • settlement of a complaint;
  • recovery of money;
  • avoidance of proceedings;
  • acceptance of a legal position;
  • removal of a review;
  • agreement by another party.

36. Client information in disputes

The Client must provide an honest and reasonably complete account of relevant facts.

Belmont may stop work if material information was withheld or if the matter develops beyond the service’s reasonable scope.

37. Professional referral

Belmont may recommend specialist advice where appropriate, including for:

  • litigation;
  • complex contracts;
  • insolvency;
  • tax;
  • employment law;
  • substantial debt recovery;
  • regulatory proceedings;
  • complex data protection;
  • criminal matters.

38. Business documents

Belmont may prepare practical templates, processes, SOPs, checklists, job descriptions, operational documents and straightforward agreement wording.

Belmont does not warrant that general business documents are legally appropriate for every possible future circumstance.

Part 6 — Website services generally

39. Website package scope

Belmont may offer Essential, Professional, Advanced, Premium and bespoke websites, including Managed Websites, Outright Websites, Website Care and Website Care Plus.

Belmont’s standard website platform is normally WordPress hosted through Belmont’s selected hosting infrastructure, unless the quotation states otherwise. Belmont may use a different platform where reasonably appropriate to the project.

The package/order confirmation determines the actual scope, functionality, page structure, integrations and ongoing service.

40. Website functionality, WordPress and plugins

Features shown in package descriptions are examples unless expressly included in the Client’s specification. A Premium or Advanced package does not automatically include every possible membership feature, portal, e-commerce feature, CRM integration, payment system, automation, booking system, customer dashboard, file-upload facility or bespoke integration.

WordPress core is open-source software. Themes, plugins, fonts, stock assets, WooCommerce extensions and other components may be free, open-source, commercially licensed or subscription-based and remain subject to their own licence terms.

Belmont may choose technically appropriate plugins and components. Where a paid third-party licence is needed, Belmont will state whether the licence is included in the Belmont fee or payable separately.

Belmont may replace a plugin, theme, integration or technical component with a reasonably equivalent alternative where necessary for security, compatibility, support, availability or commercial reasons, provided this does not materially remove agreed core functionality without discussion with the Client.

41. Website content, approvals and lawful use

The Client remains responsible for the accuracy and legality of the business information displayed on its website. Belmont may help organise or draft wording but may rely on factual information supplied by the Client.

The Client is responsible for ensuring that products, services, images, claims, policies, testimonials, customer data and uploaded material may lawfully be used and displayed.

Belmont may refuse, remove, disable or suspend content or functionality which it reasonably believes is unlawful, infringing, fraudulent, harmful, malicious, defamatory, discriminatory, unsafe or contrary to a hosting provider’s acceptable-use rules.

42. Website results

Belmont does not guarantee that a website will achieve any particular:

  • Google ranking;
  • traffic;
  • lead volume;
  • booking level;
  • sales volume;
  • revenue.

43. Browser, device and software compatibility

Belmont will take reasonable steps to support current mainstream browsers and common device sizes at the time the website is built. Belmont cannot guarantee indefinite compatibility with future or obsolete browsers, operating systems, WordPress versions, WooCommerce versions, themes, plugins, APIs or external platforms.

Updates by third-party software providers can occasionally create conflicts or require remedial work. Routine compatibility maintenance is included only to the extent stated in the applicable Managed Website or Website Care package. Major redevelopment caused by a third-party change may be separately chargeable.

44. SEO, AEO and search engines

Basic website structure, metadata, headings and technical configuration do not constitute a full SEO, AEO or digital-marketing service unless specifically agreed.

Search-engine optimisation, local SEO, content strategy, backlink work, paid advertising and ongoing ranking work are included only where expressly commissioned.

Belmont does not control Google, Bing, AI search systems or other discovery platforms and does not guarantee indexing, ranking, traffic, citations, featured results or AI-generated references.

45. Accessibility

Belmont will use reasonable design and development practices appropriate to the agreed project. Unless expressly commissioned as such, the service is not a formal accessibility audit, legal opinion or certification against WCAG or sector-specific accessibility requirements.

The Client must tell Belmont about specific statutory, contractual or sector accessibility requirements which apply to it. Where specialist accessibility testing or remediation is required, this may be separately scoped.

Part 7 — Managed Websites

46. Nature of a Managed Website

A Managed Website is an ongoing subscription service. The Client pays a monthly fee for Belmont to design and build the agreed website, make it available for the Client’s business, host or arrange hosting, maintain the website, manage routine changes and provide the support described in the selected package.

Where advertised as £0 upfront website build, there is no separate initial website-build charge. The first monthly payment is payable before Belmont begins the substantive build unless the order states otherwise.

A Managed Website is a service arrangement and not hire purchase, consumer credit, instalment purchase or a scheme under which ownership automatically transfers after a period of payments.

47. Managed Website ownership

Subject to third-party rights, the bespoke Managed Website build remains owned or controlled by Belmont for the duration of the Managed Website arrangement. This includes, to the extent legally owned or licensed by Belmont, the bespoke design, website structure, layouts, configurations, Belmont-created code, templates, reusable components, workflows, automation structures and technical setup.

The Client does not acquire ownership merely because monthly payments have been made.

This clause does not give Belmont ownership of WordPress core, third-party software, Client Content, Client Data, the Client’s trade marks, domain name or other material which the Client already owns.

48. Client licence to use a Managed Website

While the Managed Website Agreement remains active and payments are current, Belmont grants the Client a non-exclusive, non-transferable licence to use the Managed Website for the Client’s own business purposes.

That licence ends when the Managed Website service ends, subject to the Client’s continuing rights in its own Client Content and Client Data.

The Client must not sell, clone, copy, licence, transfer, reverse-engineer or commercially exploit Belmont-owned website components outside the agreed use without written permission, except to the extent such restriction would be unlawful or inconsistent with an applicable open-source licence.

49. Managed Website payments are service fees

Monthly Managed Website payments are charges for the ongoing website service.

They are not instalments towards ownership, hire purchase, credit repayments or payments which automatically lead to title passing to the Client.

50. No minimum term for Managed Websites

Unless a specifically negotiated agreement states otherwise, a Managed Website has no minimum contractual term. The Client may give notice of cancellation at any time.

Cancellation does not entitle the Client to ownership of the Managed Website and does not affect charges already due.

51. Meaning of “cancel anytime”

Cancellation may be requested at any time by written notice. Unless mandatory law requires otherwise:

  • the subscription continues until the end of the current paid billing period;
  • no further monthly renewal is taken after the effective cancellation date;
  • part-used billing periods are not normally refunded; and
  • the website may remain available until the end of that paid period unless suspension is justified by non-payment, security, illegality or material breach.

This is what Belmont means when describing a Managed Website as “cancel anytime”.

52. Effect of Managed Website cancellation

At the end of a Managed Website subscription:

  • the Belmont-owned website may be taken offline;
  • the Client does not automatically receive a copy of the website build, theme, code or configuration;
  • the Client does not automatically acquire Belmont Background IP;
  • the Client keeps its domain name;
  • Client Content remains the Client’s property; and

Client Data remains the Client’s data and is dealt with under Part 13 and Schedule 1.

Taking the website offline is separate from deleting Client Data. Belmont will follow the applicable data-export and retention process before permanent deletion where reasonably practicable and legally required.

53. Website buyout

The Client may ask to purchase a Managed Website. Unless an outright-purchase option or buyout right was agreed in advance, Belmont is not obliged to offer a buyout.

Any buyout is subject to a separate written price and specification and must be paid in full before transfer. It may exclude Belmont Background IP, proprietary templates, reusable code, automation systems, development tools and third-party licences. Migration or rebuilding work may also be chargeable.

54. Domain ownership

The Client always owns its domain name. The domain should be purchased and registered in the Client’s or business’s own name and the Client is responsible for renewal charges and keeping registrant details current.

Belmont may recommend, purchase on the Client’s behalf, configure, connect or technically manage the domain, but does not acquire ownership merely because it manages the domain or acts as reseller.

Where Belmont assists with registration, the registrant details must identify the Client or its authorised owner rather than Belmont, except where a registrar’s technical contact details are required.

55. Domain expiry

Belmont is not responsible for loss of a domain caused by the Client failing to pay a domain registrar or maintain registration details where the domain is held in the Client’s account.

56. DNS and email services

Changing DNS records can affect websites, email and other services.

The Client must tell Belmont about any existing email or technical services using its domain before Belmont makes significant DNS changes.

Unless expressly included, Belmont does not provide business-email hosting.

57. Managed Website hosting and technical platform

Belmont may host the website through a third-party hosting provider, currently including reseller hosting arrangements where appropriate. The monthly Managed Website fee includes normal hosting required for the agreed site unless stated otherwise.

Belmont may move a site between hosting packages, data centres, servers or technical platforms where reasonably necessary for performance, security, availability, support or commercial continuity, provided the Client’s core agreed service is not materially reduced.

High-traffic, resource-intensive, e-commerce, membership or portal websites may require upgraded hosting or dedicated resources at additional cost. Belmont will discuss any material recurring increase before moving the Client to a paid upgrade unless urgent action is reasonably necessary to protect security or service availability.

58. Routine Managed Website changes

Reasonable normal changes to the existing Managed Website are included within the monthly fee, including ordinary changes to photographs, wording, prices, opening hours, contact information, services, promotions, announcements, supplied testimonials, staff details and existing page sections.

Routine changes do not include unlimited redesign, development, new systems, bulk data entry, substantial copywriting, large product catalogues or major functionality.

59. Reasonable use and major changes

“Fully managed” does not mean unlimited development. Belmont may treat a request as additional work where it amounts to significant expansion, redevelopment or a materially different system.

This may include substantial new pages, a major redesign, a new business division, large e-commerce functionality, substantial membership functionality, a new client portal, major custom integration, significant programming, substantial database work, large product imports, unusually large volumes of content or migration from a third-party system.

Belmont will agree any additional price before carrying out substantial additional work.

60. Change-request timing and support

Managed Website requests will be handled within a reasonable time according to complexity, priority, Belmont’s workload and any dependency on the Client or a Third-Party Service.

Unless separately agreed, the monthly service does not provide guaranteed same-day changes, 24-hour support, emergency support or a guaranteed service-level response time.

Belmont may prioritise security, outage, payment and data-protection issues over ordinary content changes.

61. Managed Website price changes

Belmont may change the monthly Managed Website charge on at least 30 days’ written notice.

If the Client does not wish to accept the new price, it may cancel before the new price takes effect.

62. Suspension for non-payment or serious risk

If a Managed Website payment becomes overdue, Belmont may pause non-essential support and change requests while payment remains outstanding.

If payment remains unpaid after written reminder and a reasonable opportunity to pay, Belmont may suspend public access to the website and/or connected services. Belmont will ordinarily give at least 7 calendar days’ notice before suspension for non-payment unless repeated failed payments, fraud, security risk or another serious circumstance reasonably requires faster action.

Suspension does not transfer ownership to the Client, does not cancel sums already due and does not by itself authorise permanent deletion of Client Data.

Belmont may suspend immediately where reasonably necessary to address malware, unlawful content, a security incident, abuse, a material threat to systems or a legal/regulatory requirement.

63. Continued non-payment and termination

Where a Managed Website payment remains unpaid for 30 calendar days after its due date, Belmont may terminate the Managed Website service and take the website offline.

Termination for non-payment does not remove the Client’s obligation to pay sums properly due.

Following termination, Client Data will be handled under Part 13 and Schedule 1. Belmont may retain a non-public technical copy for a limited period to facilitate data export, dispute handling, backup expiry or lawful retention, but is not required to keep the website publicly available during that period.

Part 8 — Outright Websites

64. Outright purchase

Where a Client chooses an Outright Website, the agreed one-off price covers the package specification in the accepted order. Substantial additional functionality may increase the price and will be agreed before work proceeds.

An Outright Website is distinct from a Managed Website: once paid in full and handed over, the Client owns the rights expressly transferred under clause 66, subject to third-party and open-source licences.

65. Outright Website payment

Unless otherwise agreed:

  • 50% is payable before work begins;
  • the balance is payable before launch, transfer or unrestricted handover.

Larger projects may use staged payments.

66. Ownership and handover of Outright Websites

After full payment, Belmont will transfer or assign in writing the copyright and other rights which Belmont owns in the final bespoke website material created specifically for that Client, to the extent those rights are capable of assignment and are expressly included in the sale.

Client Content remains Client property. WordPress core, third-party themes, plugins, fonts, stock material, APIs, software and other licensed components remain subject to their own licences. Belmont Background IP remains Belmont property unless expressly assigned.

Belmont will provide reasonable administrator credentials or other handover information needed to operate the Outright Website, subject to security requirements and any third-party account rules.

If the Client chooses to host the website away from Belmont after handover, migration assistance beyond a basic export or handover may be separately chargeable.

67. Belmont Background IP

An outright purchase does not transfer ownership of Belmont’s pre-existing or reusable:

  • methods;
  • frameworks;
  • processes;
  • templates;
  • general-purpose code;
  • development tools;
  • automation systems;
  • workflows;
  • know-how.

The Client receives the rights necessary to operate the purchased website as agreed.

68. Third-party software

WordPress, themes, plugins, fonts, stock material, software, payment systems and other third-party components remain subject to their own licences.

Outright ownership does not override those licences.

69. Platform dependency and ongoing responsibility after handover

Where an Outright Website relies upon a Third-Party Service, plugin, theme, API, payment provider, hosting platform or paid licence, Belmont will identify material known ongoing requirements before purchase where reasonably practicable.

After handover, the Client is responsible for hosting, renewals, software updates, security, backups and compatibility unless it purchases Website Care or another ongoing service from Belmont.

Part 9 — Website Care

70. Website Care

Website Care is primarily for Clients who own their website outright.

It includes only the maintenance/support described in the selected plan.

71. Website Care Plus

Website Care Plus includes the relevant Care services plus the stated allowance for routine website changes.

Unused change time does not automatically roll forward.

72. Website Care limitations

Website Care does not guarantee that a website:

  • will never experience downtime;
  • cannot be compromised;
  • will never suffer a software conflict;
  • can never lose data;
  • will remain compatible with every future technology.

No internet-connected system can be guaranteed permanently available or completely secure.

73. Backups and restoration

Where backups form part of Belmont’s hosting or maintenance arrangement, Belmont will administer them in accordance with the capabilities and retention periods of the relevant hosting provider.

Unless a specific backup service level is expressly guaranteed in writing, no particular backup frequency, historic retention period or restoration outcome is guaranteed. Hosting-provider backups are not a substitute for the Client keeping copies of irreplaceable business records and source material.

Belmont may charge for substantial restoration, forensic investigation or recovery work outside the normal Care or Managed Website scope.

74. Third-party changes

Belmont is not responsible for faults caused by unauthorised or incompatible changes made by:

  • the Client;
  • another developer;
  • another agency;
  • a third-party plugin;
  • a hosting provider;
  • another external service.

Remedial work may be charged separately.

Part 10 — E-commerce, membership and client areas

75. Advanced functionality, portals and uploads

Advanced and Premium websites may include e-commerce, customer accounts, membership systems, client portals, dashboards, journals, booking systems, payment functionality, subscriptions, gated resources, CRM integration, document areas and file/photo uploads. Only functionality expressly included in the agreed specification is provided.

Where a Client Portal is provided, the Client is responsible for determining which individuals should have access and for ensuring its use of the portal is lawful and appropriate for its business.

Belmont may impose reasonable technical limits on file size, file type, storage volume, bandwidth and retention. Large archives, raw media libraries or general-purpose cloud storage may require separate storage services and are not automatically included in website hosting.

76. E-commerce responsibility

Where Belmont builds an online shop, the Client remains responsible for the underlying retail operation and legal compliance of the goods/services it sells, including products, stock, pricing, VAT/tax, shipping, delivery, returns, refunds, cancellations, product safety, age restrictions, consumer information, warranties, regulated-product requirements and any sector-specific obligations.

Belmont provides and configures website functionality. It does not become the seller, retailer, merchant of record or contracting party with the Client’s customers merely because it built or manages the website.

77. Payment processors

Online payments will normally be processed through an independent payment provider such as Stripe or another provider selected for the Client. Unless expressly agreed otherwise, Belmont is not the merchant of record and does not receive or hold the Client’s customers’ card funds.

The Client contracts separately with its payment provider and is responsible for account verification, chargebacks, refunds, payment-provider fees, prohibited-business rules and compliance requirements imposed by that provider.

Belmont must not be given full payment-card details and does not intentionally store card numbers or security codes unless a separately agreed compliant system specifically requires it.

78. Payment-provider outages

Belmont is not responsible for losses caused solely by outages, account restrictions, fraud decisions, chargebacks, withheld funds or policies of an independent payment provider.

79. Memberships, journals and customer accounts

The Client remains responsible for who may be granted access, membership rules, account eligibility, the accuracy and lawful use of account information and the lawful handling of member/customer data.

Private journals, messages, photographs and documents supplied through a Client Portal are Client Data. Belmont may have technical administrator access for maintenance, support, security, backup, troubleshooting and lawful compliance purposes, but does not acquire ownership of that content and will not use it for unrelated purposes.

The Client must not instruct Belmont to access, disclose, alter or delete personal data in a way which would breach applicable law.

80. Account security and credentials

Where client/admin/customer accounts are used, the Client must use appropriate passwords, enable multi-factor authentication where reasonably available, restrict administrator access, promptly remove former users and notify Belmont promptly of suspected compromise.

The Client must not share administrator credentials publicly or use the same credentials for multiple unrelated users where individual accounts are available.

Belmont may reset credentials, disable accounts or require stronger security where reasonably necessary to protect the website, Client Data or other systems.

Part 11 — Automation, AI, CRM and messaging

81. Automation services

Belmont may configure automation involving forms, CRM records, email, SMS, notifications, review requests, bookings, workflows and other business processes. Automations depend on the Client’s instructions and connected Third-Party Services.

The Client must approve material automated communications and business rules before live use where reasonably practicable. Belmont is not responsible for a workflow acting exactly as configured where the underlying Client instruction, supplied data or approved rule was incorrect.

82. AI-assisted work

Belmont may use artificial-intelligence tools to assist with research, drafting, content, code, website preparation, image concepts, workflow creation, analysis, troubleshooting and automation. Belmont remains responsible for exercising reasonable professional judgement over work it supplies.

Where Client Data or confidential information is proposed to be submitted to a third-party AI service, Belmont will take reasonable steps to use the service consistently with the Agreement, the Data Processing Schedule and applicable data-protection requirements. Highly sensitive information should not be submitted to AI systems unless specifically justified and appropriately protected.

83. AI limitations

AI systems can generate inaccurate, incomplete, outdated or unexpected output. The Client remains responsible for checking important factual business information before publication or use.

AI output must not be treated as legal, medical, financial, tax, regulated HR or other regulated professional advice. Belmont may refuse to deploy an AI-generated output which it reasonably considers unsafe, unlawful or materially unreliable.

84. Direct marketing, email, SMS and review requests

Where Belmont configures marketing email, SMS, direct messages, review requests or similar communications, the Client is responsible for ensuring it has an appropriate lawful basis and, where required, consent, soft opt-in or other permission to communicate with recipients.

The Client must provide any legally required identification and opt-out mechanism and must honour objections and unsubscribe requests. Rules can differ between corporate subscribers, sole traders, partnerships and individual consumers, and the Client remains responsible for the lawfulness of its audience and contact list.

Belmont may refuse to upload, import or use a contact list where the Client cannot reasonably explain its source or lawful use.

85. Automated decision-making

Belmont will not knowingly configure a system to make significant decisions about individuals solely by automated means unless the Client has identified a lawful basis, appropriate safeguards and any required human-review process under applicable data-protection law.

The Client remains responsible for the substantive business decision and for any sector-specific rules applying to automated decisions.

86. APIs and integrations

Integrations rely on third-party APIs and software.

A provider may:

  • alter its API;
  • withdraw functionality;
  • impose usage limits;
  • change pricing;
  • suspend access.

Belmont is not responsible for such external changes but may quote for reasonable adaptation work where required.

Part 12 — Website legal compliance

87. Client website legal requirements

The Client is responsible for identifying legal and regulatory requirements specific to its business and sector. These may include privacy notices, cookie requirements, trading disclosures, business identity information, consumer terms, cancellation information, e-commerce disclosures, product-specific notices, accessibility duties, age restrictions and regulated-sector information.

Belmont may assist with presenting or implementing information supplied or approved by the Client, but does not provide legal certification that the Client’s website complies with every law applying to the Client’s business.

The Client must tell Belmont if it is a limited company, sole trader, partnership, charity, regulated business or other entity requiring specific website disclosures.

88. Privacy notices, cookies and consent tools

Where Belmont installs a cookie banner, privacy page, consent manager or similar feature, this does not by itself guarantee legal compliance. Compliance depends on the Client’s actual processing, analytics, marketing, advertising, integrations and third-party technologies.

The Client is responsible for ensuring that its privacy notice accurately describes its real processing and that non-essential cookies or similar technologies are not used without any consent required by applicable law.

Belmont may assist with technical configuration and may update or replace consent tooling where reasonably necessary to reflect changes in the website or applicable guidance.

Part 13 — Client data and website termination

89. Client Data and ownership

Customer records, order information, portal messages, journals, photographs, files, form submissions, membership information and other Client Data do not become Belmont’s property merely because they are stored within a Managed Website or Belmont-managed system.

The Client remains responsible for the purposes for which Client Data is collected and used unless Belmont separately determines its own purpose for a particular processing activity.

90. Data export on Managed Website termination

Before termination takes effect, or during the post-termination retention period, the Client may request a reasonable export of Client Data where technically available. The available format depends on the relevant platform and may include standard database exports, CSV files, media files or other commonly available formats.

Belmont is not required to transfer proprietary software, Belmont Background IP, website design, themes, code or systems merely to export Client Data.

The Client is responsible for checking the export promptly and notifying Belmont of an obvious problem before the retention period expires.

91. Migration assistance

A basic export or handover of available Client Data may be supplied where reasonably practicable. Substantial migration, rebuilding, data transformation, custom export development, reconfiguration for a replacement provider or prolonged cooperation with another developer may be charged separately.

Belmont may require payment of undisputed overdue sums before carrying out non-essential migration work, but will not knowingly use personal data as leverage in a manner inconsistent with applicable data-protection law.

92. Post-termination retention and deletion

The Client should request and download required Client Data promptly when a Managed Website ends.

Subject to legal obligations, security requirements, technical feasibility and hosting-provider backup cycles, Belmont will normally keep a non-public copy of available Client Data for at least 30 calendar days after termination to allow a reasonable export request. Belmont may then securely delete the site and working data.

Belmont may retain limited records for accounting, legal claims, fraud prevention, security, compliance or other lawful purposes. Data contained in routine backups may remain until the relevant backup cycle expires and will not be restored for ordinary use after deletion except where reasonably necessary for recovery, legal or compliance purposes.

If a hosting provider imposes a shorter mandatory deletion period, Belmont will use reasonable efforts to inform the Client where this materially affects an agreed export opportunity.

Part 14 — Third-party services

93. Third-party providers and sub-processors

Belmont may use independent hosting providers, WordPress services, plugins, cloud services, payment integrations, communications providers, CRM platforms, automation services and other Third-Party Services to deliver the agreed service.

Where Belmont acts as processor and a Third-Party Service processes personal data on Belmont’s behalf, that provider will be treated as a sub-processor to the extent required by applicable law. The Client gives the general written authorisation described in Schedule 1, subject to the safeguards and objection process there.

94. Third-party charges and licences

Unless expressly included, third-party charges are payable separately by the Client. Examples may include domains, premium plugins, specialist software, payment fees, SMS/email usage, AI usage, booking systems, external storage, stock assets, licences and upgraded hosting.

Belmont may include a third-party licence in a Managed Website fee while the service is active. The Client should not assume that such licence can be transferred or continues after cancellation or an outright handover unless expressly confirmed.

95. Third-party availability and service changes

Belmont does not control the continuing existence, price, security, API, licence terms or functionality of a Third-Party Service. A provider may change or withdraw functionality, increase prices, impose limits or suffer outages.

Belmont will use reasonable efforts to maintain agreed functionality and discuss material alternatives, but replacement, migration or redevelopment caused by a third-party change may be chargeable where it falls outside routine maintenance.

Part 15 — Payment

96. Fees

The applicable fee is the fee agreed when the order is accepted.

Belmont may change prices for future orders.

97. VAT

Prices will be treated in accordance with Belmont’s VAT status.

Where VAT is chargeable, this will be stated or added as required by law.

98. Invoices and recurring payments

Unless otherwise agreed, one-off invoices are payable within seven calendar days. Recurring services are normally payable in advance on the agreed billing date.

The Client authorises recurring charges only through the payment mandate or subscription method it has expressly accepted. Belmont will not retain full payment-card details where payment is handled by an independent payment provider.

99. Failed recurring payments

Where a recurring payment fails, Belmont may contact the Client and request payment or an alternative payment method. Continued non-payment may lead to suspension or termination in accordance with these Terms.

A failed payment does not automatically cancel the Agreement or remove sums already due.

100. Late business payments

For qualifying business-to-business debts, Belmont reserves its statutory rights under applicable late-payment legislation, including statutory interest and applicable fixed or reasonable recovery costs.

Where Belmont chooses to rely on statutory interest rather than a contractual interest rate, the applicable statutory rate is determined by the law in force at the relevant time.

101. Genuine invoice disputes

A Client disputing an invoice should notify Belmont promptly with details.

A genuine dispute concerning part of an invoice does not automatically excuse payment of an undisputed part.

Part 16 — Cancellation and termination

102. One-off project cancellation

A Client may cancel a one-off project in writing.

Where work has started, Belmont may charge for:

  • work performed;
  • time reasonably committed;
  • third-party expenditure;
  • non-refundable external costs.

Any overpayment above sums properly due will be refunded where required.

103. Deposits

A deposit is a payment towards the project rather than automatically an irrecoverable penalty.

Where a project is cancelled, Belmont may deduct sums properly due for work and committed costs.

104. Cancellation of ordinary monthly services

Ordinary recurring services are governed by the three-month initial period and subsequent 30-day rolling arrangement described above unless otherwise agreed.

105. Managed Website cancellation

Managed Websites are governed by the separate cancel-anytime provisions in clauses 50–52.

They are not subject to the normal three-month minimum unless specifically agreed.

106. Termination by Belmont

Belmont may suspend or terminate a service where the Client:

  • fails to pay;
  • materially breaches the Agreement;
  • repeatedly fails to cooperate;
  • acts abusively or threateningly;
  • asks Belmont to do unlawful work;
  • exposes Belmont to serious legal, security or reputational risk.

Where appropriate, Belmont will normally give the Client a reasonable opportunity to remedy the breach.

107. Termination without Client fault

If Belmont ends a prepaid service without Client fault, Belmont will refund or credit any fee relating solely to future service which will no longer be provided.

Part 17 — Consumer rights

108. Consumer status

These Terms are principally drafted for business Clients.

If the Client legally qualifies as a consumer, statutory consumer rights apply.

Nothing in these Terms removes rights which cannot lawfully be excluded.

109. Consumer service rights

Where applicable, consumer services must be supplied with the standard required by consumer law.

Any limitation in these Terms applies only to the extent lawful.

110. Consumer cooling-off rights

Where a consumer enters a qualifying distance or off-premises contract, statutory cancellation rights may apply.

Where a consumer expressly asks Belmont to begin services during a statutory cancellation period, the consumer may be responsible for the proportion of services properly supplied before cancellation where the law allows.

111. Consumer subscription rules

Belmont’s recurring services are principally intended for business Clients. If a recurring service is legally a business-to-consumer subscription contract, Belmont will comply with the mandatory subscription-contract legislation and regulations in force when the relevant consumer contract is entered into.

This may include pre-contract information, renewal/reminder notices, cooling-off rights, cancellation mechanisms and end-of-contract information where required. Mandatory consumer rights take priority over conflicting wording in these Terms.

Part 18 — Intellectual property

112. Client Content and intellectual property

The Client retains ownership of intellectual property it owned before supplying it to Belmont. The Client grants Belmont a non-exclusive licence to use that material only so far as reasonably necessary to perform the Agreement, maintain the service, create backups and comply with law.

The Client warrants that it has sufficient rights to provide the material and to authorise the intended use.

113. Belmont-created photography, video, content and design

Unless expressly assigned in writing, copyright in creative work produced by Belmont remains with Belmont. After full payment, the Client receives a perpetual, worldwide, non-exclusive licence to use final approved photography, video, written content and design deliverables for its own normal business and promotional purposes.

The Client may provide final deliverables to printers, media outlets, advertising platforms and contractors where reasonably necessary for those purposes, but may not resell or license Belmont-created assets as standalone stock or creative products without written permission.

114. Final bespoke logos

Where Belmont is specifically commissioned to create a final bespoke logo and the quotation states that ownership will transfer, Belmont will assign in writing the copyright which it owns in the final approved bespoke logo after full payment.

The assignment does not include third-party fonts, stock material, licensed elements, unused concepts, alternative drafts, Belmont templates or reusable design systems.

115. Working files

Unless expressly agreed, finished delivery does not include:

  • RAW photographs;
  • unused images;
  • unused footage;
  • PSD files;
  • editable design source files;
  • unused concepts;
  • internal notes;
  • reusable templates;
  • development tools.

Part 19 — Confidentiality and data protection

116. Confidentiality

Each party will take reasonable steps to protect genuinely confidential business information received from the other and will use it only for the Agreement, legal compliance or another purpose authorised by the disclosing party.

Confidential information does not include information which is lawfully public, already lawfully known, independently developed, lawfully received from another source or required to be disclosed by law or a competent authority.

Confidentiality obligations continue after termination for so long as the information remains confidential.

117. Data-protection roles

Each party must comply with applicable UK data-protection and privacy law, including the UK GDPR, Data Protection Act 2018, Data (Use and Access) Act 2025 and PECR where applicable.

Depending on the activity, Belmont may act as:

  • an independent controller for Belmont’s own enquiries, billing, supplier management, legal/compliance records, marketing and business administration;
  • a processor where Belmont hosts, maintains or otherwise processes Client Data only on the Client’s documented instructions; or
  • a controller for a particular processing activity if Belmont independently determines the purpose and essential means of that activity.

The Client will normally be controller for personal data concerning its own customers, staff, members, website users and portal users where it decides why that data is collected and used.

118. Data Processing Schedule and sub-processors

Where Belmont acts as a processor, Schedule 1 forms part of the Agreement and is intended to satisfy the mandatory controller-processor contract requirements applicable to that processing.

The Client gives Belmont general written authorisation to appoint suitable sub-processors in accordance with Schedule 1. Belmont will remain responsible to the Client for its own processor obligations and for managing sub-processors as required by applicable law.

119. Sensitive information

Clients should not provide unnecessary special-category data, criminal-offence information, health information, identity documents or other highly sensitive personal data through a website or to Belmont.

Where a project genuinely requires such data, the Client must tell Belmont before processing begins so that the parties can consider whether additional security, a DPIA, specialist hosting, stricter access controls or a separate written agreement is required. Belmont may decline the processing where the risk is outside its reasonable service model.

120. Team members, administrative access and authorised support

Belmont may use employees, contractors, freelancers and specialist providers to deliver services. Persons given access to confidential information or personal data will be subject to appropriate confidentiality and data-protection obligations.

Belmont may retain technical administrator access to Managed Websites and websites under Care for maintenance, security, support, backup, troubleshooting, migration and compliance purposes. Technical ability to access Client Data does not give Belmont permission to inspect or use it for unrelated purposes.

Where a Client requests support concerning a particular account, message, file or journal entry, the Client authorises the access reasonably necessary to investigate and resolve that issue.

Part 20 — Business relationship

121. Non-exclusivity

Unless expressly agreed, the Client does not receive geographical, sector or competitor exclusivity.

Belmont may work with similar businesses while protecting confidential information.

122. Portfolio use

Unless the Client asks Belmont in writing not to do so before publication, Belmont may display non-confidential final creative work or public-facing website design which has already been made public as examples of Belmont’s work.

Belmont will not use private portal content, customer records, confidential business information, non-public Client Data or private customer uploads for portfolio purposes without separate permission.

123. Records and archiving

Belmont is not an indefinite archive service.

Clients should retain copies of final assets supplied to them.

Completed project files may be deleted after a reasonable retention period subject to legal and data-protection requirements.

124. Third-party recommendations

A supplier or software recommendation is not a guarantee of that provider’s performance.

Unless expressly stated, the Client contracts directly with the provider.

Part 21 — Liability

125. Liability which cannot be excluded

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any other liability which cannot lawfully be excluded or restricted.

126. Indirect and consequential loss

For business Clients, and subject to applicable statutory reasonableness requirements, Belmont will not be liable for indirect or consequential loss which was not a reasonably foreseeable direct result of Belmont’s breach.

Belmont does not accept liability merely because a third-party platform, search engine, plugin, API, payment provider or hosting provider changes its service or suffers an outage outside Belmont’s reasonable control.

127. Commercial expectations

Belmont is not liable merely because an anticipated commercial outcome was not achieved where that outcome was not guaranteed.

128. Business interruption and economic loss

For business Clients, to the fullest extent permitted by law and subject to applicable reasonableness requirements, Belmont will not normally be liable for loss of anticipated profit, revenue, opportunity, goodwill, contracts, business, savings or data where such loss is indirect, consequential or arises from a commercial result Belmont did not guarantee.

This clause does not exclude liability which cannot lawfully be excluded and does not remove Belmont’s obligation to exercise reasonable care and skill in performing the agreed service.

129. Liability cap for business Clients

For business Clients, subject to clauses 125-128 and applicable legal reasonableness requirements, Belmont’s total aggregate contractual liability arising from a particular service or connected series of events will not exceed the total fees paid or payable to Belmont for that affected service during the 12 months immediately preceding the event giving rise to the claim.

For a one-off service lasting less than 12 months, the reference is to the total agreed fee for that service.

This limitation applies only to the extent it is fair and reasonable under applicable law. In assessing and applying any monetary limitation, regard must be had to the circumstances, available resources and relevant insurance.

130. Client-supplied material, instructions and indemnity

For business Clients, the Client is responsible for reasonable direct third-party claims, losses and costs arising from Client Content or Client instructions which infringe another person’s rights, breach confidentiality, misuse personal data or are otherwise unlawful, except to the extent the loss was caused or increased by Belmont’s own breach, negligence or wrongdoing.

Any indemnity is subject to applicable law, requires Belmont to act reasonably in dealing with the claim and does not apply to liabilities which Belmont could not lawfully transfer.

131. Duty to mitigate

Each party should take reasonable steps to reduce avoidable loss arising from a problem.

Part 22 — Events outside control

132. Force majeure

Neither party is responsible for delay caused by circumstances genuinely outside its reasonable control.

Examples may include:

  • serious illness;
  • fire;
  • flood;
  • severe weather;
  • widespread internet outage;
  • utility failure;
  • major third-party infrastructure failure;
  • government action;
  • industrial disputes.

The affected party should notify the other where reasonably practicable.

Part 23 — Right to refuse work

133. Refusal, removal and prohibited use

Belmont may refuse, pause, remove or disable work which it reasonably considers unlawful, fraudulent, misleading, defamatory, infringing, malicious, discriminatory, unsafe, outside its competence, contrary to a hosting provider’s acceptable-use policy or likely to create material security, legal or reputational risk.

This includes malware, phishing, unlawful surveillance, unauthorised scraping, copyright infringement, illegal goods/services, abusive bulk messaging, content designed to facilitate fraud and use of website hosting as a general-purpose file-hosting or backup service where the hosting provider does not permit it.

Where practical, Belmont will notify the Client and allow a reasonable opportunity to remedy the issue unless immediate action is reasonably required.

Part 24 — Complaints and disputes

134. Complaints

Complaints should be sent to hello@belmontbusiness.co.uk with sufficient information for Belmont to understand and investigate the issue. Belmont will seek to respond reasonably.

Submitting a complaint does not automatically suspend payment of undisputed sums, but Belmont will consider genuinely disputed amounts in good faith.

135. Informal resolution

Where appropriate, both parties should attempt in good faith to resolve disputes through direct communication before commencing legal proceedings.

Part 25 — Use of Belmont’s own website

136. Belmont website information and business identity

Belmont takes reasonable care over information on its own website but may update, correct or withdraw information. Displaying a service does not itself create a contract.

Belmont will display the business identity and contact information required by law for its legal form, including the legal owner/entity, geographic/service address and electronic contact details, and any company registration or VAT details where applicable.

137. Acceptable use

Users must not:

  • intentionally damage the website;
  • attempt unauthorised access;
  • introduce malicious code;
  • misuse forms;
  • scrape or reproduce substantial content without permission.

138. External links

Belmont may link to independent websites.

Belmont does not control their availability, privacy, security or content.

139. Privacy and cookies

Belmont’s processing of website visitors’ personal information is governed by its Privacy Policy.

Cookies and similar technologies are addressed in its Cookie Policy and consent mechanism where applicable.

Part 26 — General legal terms

140. Changes to these Terms

Belmont may update these Terms for future work.

Changes do not retrospectively alter an agreed fixed-price project.

For an ongoing service, Belmont will provide reasonable notice of a material contractual change where appropriate.

141. Notices

Contractual notices may be given by email to the usual business email address used by the parties unless the Agreement specifies another method. A cancellation notice should clearly identify the Client and service being cancelled.

A notice sent by email is treated as received when it enters the recipient’s information system, provided the sender does not receive a clear delivery failure, but this does not override any statutory rule requiring a different method or timing.

142. Assignment

The Client may not transfer the Agreement without Belmont’s written consent.

Belmont may use subcontractors and may assign the Agreement as part of a genuine transfer of its business, provided this does not materially reduce the Client’s contractual rights.

143. No partnership or agency

Nothing in the Agreement creates a partnership, joint venture, employment relationship or legal agency between Belmont and the Client.

144. Waiver

Failure to enforce a contractual right immediately does not permanently waive that right.

145. Severability

If one provision is invalid or unenforceable, the remainder continues so far as legally possible.

146. Third-party rights

Unless expressly stated, a person who is not party to the Agreement has no right to enforce it under the Contracts (Rights of Third Parties) Act 1999.

147. Entire agreement and reliance

For business Clients, the accepted order/project specification, any specifically negotiated written terms, the applicable schedules and these Terms together constitute the Agreement concerning the services.

The Client acknowledges that it has not relied on a statement which is not incorporated into the Agreement, except that nothing in this clause excludes or restricts liability for fraud or fraudulent misrepresentation or any liability which cannot lawfully be excluded.

148. Governing law

These Terms and the Agreement are governed by the law of England and Wales.

For business Clients, the courts of England and Wales have exclusive jurisdiction unless otherwise agreed.

Mandatory rights available to a consumer are unaffected.

Schedule 1 — Data Processing Terms

This Schedule applies where Belmont processes personal data as a processor on behalf of the Client. It forms part of the Agreement and is intended to satisfy the mandatory controller-processor contract requirements applicable to that processing.

A. Roles and instructions

The Client is the controller for the relevant Client Data and Belmont is the processor, except to the extent the parties expressly identify a different role for a specific processing activity.

Belmont will process personal data only on the Client’s documented instructions, including instructions contained in the Agreement, project specification, configuration choices and written communications, unless UK law requires otherwise. If Belmont believes an instruction infringes applicable data-protection law, Belmont will inform the Client and may pause the affected processing until the instruction is clarified or changed.

B. Subject matter, duration, nature and purpose

Belmont may process personal data only so far as reasonably necessary to provide the instructed services. Processing lasts for the duration of the relevant service plus any reasonable period required for export, deletion, backup expiry, dispute handling, security, accounting or lawful retention.

Processing may include receiving, accessing, recording, organising, storing, hosting, displaying, editing, retrieving, transmitting, backing up, exporting and deleting information for purposes such as website hosting and management, client portals, journals, customer forms, e-commerce, memberships, CRM, automation, correspondence support, content work and business support.

C. Types of personal data

Depending on the service, personal data may include names, contact details, customer details, supplier details, order information, booking information, correspondence, complaint information, account information, login data, member records, website-form submissions, photographs, videos, files, documents, portal messages, invoices, staff/contractor information and technical logs.

Special-category or criminal-offence data should not be provided unless genuinely necessary, lawful and appropriately agreed.

D. Categories of data subject

Data subjects may include Client personnel, customers, prospective customers, website users, portal users, members, suppliers, contractors, complainants and individuals appearing in Client Content.

E. Confidentiality and authorised personnel

Belmont will ensure persons authorised to process Client personal data are subject to appropriate confidentiality duties and access is limited according to role and need.

F. Security

Belmont will implement reasonable and appropriate technical and organisational measures having regard to the nature, scope, context and risk of the processing. Measures may include access controls, unique accounts, multi-factor authentication where available, encryption in transit, secure hosting, software updates, malware/security controls, backups, logging, least-privilege access and secure deletion practices where appropriate.

No internet-connected system can be guaranteed completely secure. The Client remains responsible for security matters under its control, including its own devices, user permissions, passwords, administrator access and staff practices.

G. Administrative access

Belmont may retain technical administrator access to systems it manages. Such access is for service delivery, maintenance, security, support, troubleshooting, backup, migration and lawful compliance. Belmont will not use Client personal data for unrelated purposes merely because it has technical access.

H. Sub-processors

The Client gives Belmont general written authorisation to appoint reputable sub-processors reasonably necessary to provide the service, including hosting, cloud storage, WordPress/plugin services, email, CRM, payment integration, automation, communications, analytics and AI providers where appropriate.

Belmont will require applicable sub-processors to be subject to written data-protection obligations which provide an equivalent level of protection as required by law. Belmont remains responsible to the Client for the performance of its sub-processors to the extent required by applicable law.

Belmont will make information about material sub-processors available on reasonable request. Where reasonably practicable, Belmont will provide notice of a material new sub-processor before it begins processing relevant Client Data. The Client may raise a reasonable data-protection objection. If the objection cannot reasonably be resolved and the sub-processor is necessary to provide the service, either party may terminate the affected processing/service on reasonable notice.

I. International transfers

Belmont will not intentionally make a restricted international transfer of Client personal data unless authorised by the Client through this Agreement or another documented instruction and a lawful transfer mechanism or applicable exception is in place where required.

J. Data-subject rights

Taking account of the nature of the processing, Belmont will provide reasonable assistance to the Client where necessary for the Client to respond to valid data-subject requests. Belmont will not independently decide the substantive response where it acts only as processor unless required by law.

K. Personal-data breaches

Belmont will notify the Client without undue delay after becoming aware of a personal-data breach affecting personal data Belmont processes solely on the Client’s behalf. Belmont will provide reasonably available information to assist the Client with investigation, mitigation and any legal notification duty.

The Client remains responsible, as controller, for deciding whether notification to the ICO or affected individuals is required, except where Belmont has a separate direct legal duty.

L. Compliance assistance

Taking into account the nature of processing and information available to Belmont, Belmont will provide reasonable assistance with applicable security, breach, DPIA, consultation and accountability obligations. Substantial assistance outside the ordinary service may be chargeable where lawful and agreed.

M. Return, export and deletion

At the end of the processor relationship, Belmont will, at the Client’s reasonable request and where technically available, return or make available a reasonable export of personal data processed solely on the Client’s behalf. After the applicable retention/export period, Belmont will delete or render unavailable the remaining working data except where retention is legally required or information remains temporarily within protected backup cycles.

The Client is responsible for requesting and checking required exports before the stated deletion period expires.

N. Audits and compliance information

Belmont will provide information reasonably necessary to demonstrate compliance with its processor obligations. Any audit or inspection must be proportionate, take place on reasonable written notice, avoid unnecessary disruption and protect the confidentiality and security of information belonging to other clients.

Where an audit would impose substantial cost or work beyond ordinary compliance assistance, Belmont may charge reasonable costs unless the audit identifies a material breach by Belmont.

O. Client responsibilities as controller

Where the Client determines why and how customer, member, employee or website-user information is processed, the Client remains responsible for its controller obligations, including lawful basis, transparency/privacy notices, data minimisation, retention, accuracy, user rights, marketing compliance, security under its control and lawful instructions to Belmont.

P. Direct marketing and automated communications

Where Belmont configures communications on the Client’s behalf, the Client is responsible for confirming that recipients may lawfully receive those communications. Belmont may refuse an instruction which appears clearly inconsistent with applicable direct-marketing law or an unsubscribe/objection request.

Q. Records and cooperation

Each party will maintain the records and information required of it by applicable data-protection law and will reasonably cooperate with the other in relation to a regulatory enquiry concerning the processing covered by this Schedule.

R. End of Schedule

This Schedule forms part of the Agreement whenever Belmont acts as the Client’s processor.

Schedule 2 — Managed Website Data Lifecycle and Portal Rules

A. Website shutdown is not data deletion

Suspending or taking a Managed Website offline does not automatically delete Client Data. Belmont may keep the data non-public for the limited export/retention period described in these Terms.

B. Export window

The Client should request any required export before termination or within 30 calendar days after termination. Belmont will provide a reasonable export of technically available Client Data. Custom transformation or migration can be charged separately.

C. Deletion

After the export/retention period, Belmont may delete website files, databases, portal content and uploads, subject to legal retention duties and routine backup expiry. Belmont is not an indefinite archive provider.

D. Portal data

Private messages, journals, customer photographs, documents and uploads are Client Data. Belmont’s administrator access is limited to service, support, security and lawful-compliance purposes.

E. Storage and file limits

Website hosting is intended for files needed to operate the website and agreed portal functionality. Belmont may impose reasonable file-size, file-type, storage, bandwidth and retention limits. General cloud storage, long-term archive storage, raw video libraries and unrelated backups require separate storage arrangements.

F. Security

The Client must manage user access responsibly, use unique accounts where available, promptly remove former users and notify Belmont of suspected compromise. Belmont may disable an account or upload where reasonably necessary to protect systems or data.

Schedule 3 — Website, Hosting and Upload Acceptable Use

The Client must not use a Belmont-managed website, hosting account, client portal or upload facility to store, publish, transmit or facilitate material which is unlawful, fraudulent, malicious, infringing, defamatory, abusive, discriminatory, dangerous, designed for phishing or malware, or prohibited by the applicable hosting/payment/software provider.

The Client must not use website hosting as a general off-site backup or unrelated file-sharing service where the hosting provider does not permit that use.

Belmont may remove or quarantine malicious files, disable a compromised account, reject an upload type, impose reasonable storage limits or suspend affected functionality where reasonably necessary for security, legal compliance or provider compliance.

Where practical, Belmont will notify the Client and allow a reasonable opportunity to remedy the issue, except where urgent action is necessary.
